The VetShopAustalia.com.au Affiliate Program is currently by invitation only.
Participation in our Affiliate Program is governed by the following terms and conditions.
1. General
These Terms and Conditions (the "Affiliate Agreement") govern the Affiliate Program that is made available by VetShopAustralia Pty Ltd. ("VetShopAustralia.com.au", "we" or "us") to selected persons. These Terms and Conditions represent the whole agreement and understanding between VetShopAustralia.com.au and the individual or entity who participates in the Affiliate Program (the "Affiliate", or "you").
You warrant that everything you told us during our discussions about your participation in our Affiliate Program about yourself, your website, blog and social media presence is true. If anything you told us ceases to be true or there is a material change you must let us know as soon as you can..
If we accept your participation in our Affiliate Program, you agree to comply with all of the terms and conditions set out in this Affiliate Agreement and any brand, advertising or other guidelines or instructions we give to you regarding the Affiliate Program.
2. Referral Tracking
We will provide you with specific links to pages on our website which include a tracking code specific to you (“Referral Links”). We may also provide you with a code people you refer can use when shopping with us (“Referral Code”). We may also provide you with images, banners or other marketing material for you to use in conjunction with the Referral Links and Referral Code .
You are permitted to display the Referral Links and Referral Code on your website, in your emails, on your social media or in other communications which we have approved. You must not place your Referral Links on any other website, emails, social media or other communications without our approval. If you are not sure, you must check with us first.
You must not place your Referral Links or Referral Code in any paid advertisement (such as google adwords or similar), banner or content network or otherwise use paid advertising or promotion to generate clicks on your Referral Links or the use of your Referral Code and you must not undertake any paid advertising or promotional activity what oever targeting our domain or business name (or similar names or mispellings) or any other keywords we notify you must not be used.
Referral Links must point to our homepage or the page of the product being promoted as directed by us. Referral Codes must be accompanied by any terms and conditions we impose on the use of the code.
You must not publish or promote any discount or coupon code for VetShopAustralia.com.au or any website we own or operate without our prior approval.
You will earn Affiliate Fees only with respect to sales of products on our website occurring directly by a user clicking on one of your Referral Links or using your Referral Code and then purchasing a product from us (in the same session).
You must not modify or alter the Referral Links, the Referral Code or the tracking in any way.
VetShopAustralia.com.au is not responsible for any tracking or reporting errors that may result from any modifications to the Referral Links, Referral Code or the cookies or any other failure in tracking of a referral whether the failure is due to anything done or not done by you or the referred peson or due to any other failure of any computer system or technology.
We will only pay Affiliate Fees on clicks and sales that are automatically tracked and reported by our systems. We will not pay Affiliate Fees if someone says they clicked on a link, purchased or someone says they entered a referral code if it was not tracked by our system. We can only pay commissions on business generated through properly formatted Referral Links or the use of valid Referral Codes.
You must not use Referral Links or Referral Code for your own use and you do not earn an Affiliate Fee on purchases you make for yourself or on other people’s behalf.
3. Affiliate Fees and Payouts
You are entitled to receive a commission ("Affiliate Fee") on all sales referred by you using your Referral Links or the Referral code as set out in this agreement.
The commission rate is as specified in our email or other communication with you confirming your acceptance to this program and is calculated as a percentage of the Sale Price as defined in this agreement.
In order to be eligible for an Affiliate Fee on a purchase:
the customer must click-through your Referral Link from your site, email,social media or other communications which we have approved, to our website or use your Referral Code and complete an order for a product from our website during that session
The customer must pay for the product in full
The purchase must be for a retail quantity acquired for normal individual use (Affiliate Fees do not accrue on wholesale or other bulk orders).
The customer must open an account with our website and keep it in good standing.
The sale must not be cancelled, refunded, charged back or otherwise reversed.
Sales Price is calculated on the sales proceeds actually received by us for the sale of products referred by you after discounts, refunds, cancellations, chargebacks etc and excludes any postage & handling charges, special charges, restocking or reshipping charges, credit card charges, government taxes (other than GST), charges or levies or any fees or charges imposed by any person (including any advertiser on our website and your credit card or payment processor) other that VetShopAustralia.com.au or any part of any payment paid with store credit, rewards points, gift cards or similar.
If we offer any VIP Club Membership or other program giving preferential prices to a group of customers, you do not accrue any Affiliate Fee on any sale to any members of such program.
We may delay, recalculate, adjust or reverse your Affiliate Fees where we reasonably consider (a) that you have sold, swapped or given away or attempted to sell, swap or give away your referrals or entitlement to Affiliate Fees (b) that there has been fraud, deception or a scheme specifically intended or which has the effect of accruing Affiliate Fees other than those that you would normally be entitled to or you have given us false or incorrect information or attempt to do so (whether or not there is any intention to defraud or deceive) (c) the referral was not caused or contributed to by your bona fide efforts or (d) you have breached or we reasonably consider that you may have breached this agreement or any law (e) any other reason that we consider is outside the spirit or intent of this agreement and the referral/affiliate relationship.
If you receive Affiliate Fees but it is later determined that you were not entitled to those Affiliate Fees, you must repay the Affiliate Fees to us on demand. If we hold your credit card details on file, you authorize us to debit such card for any such amounts.
All Affiliate Fee payments will be payable in Australian Dollars.
Affiliate Fees will be payable only when the Affiliate has at least 10 eligible referrals or has accrued at least $50 of Affiliate Fees which ever is the greater. Affiliate Fees will be paid quarterly (every 3 months).
As soon as possible after the end of each quarter we will provide you with the information you need to calculate the fee and issue a tax invoice based on the data captured by our systems. .
Payment will be made to your nominated PayPal account or Australian bank account within 30 days of receipt of a valid tax invoice issued by you. You are responsible for providing VetShopAustralia.com.au with a valid tax invoice and the full and accurate details that are required to remit the Affiliate Fee.
You are responsible for all taxes, fees and charges associated with any Affiliate Fees and your participation in the Affiliate Program. If we pay any such amounts on your behalf, you will reimburse us such amounts on demand.
4. Advertisements
VetShopAustralia.com.au hereby grants the Affiliate a non-exclusive, non-transferable, limited license to use the VetShopAustralia.com.au logos for the sole purpose of promoting our business within the context of the Affiliate Program. This license will expire upon termination of the Affiliate's participation in the Affiliate Program.
The Affiliate may only display content that contain VetShopAustralia.com.au's logos or service marks in good taste. The Affiliate may not use VetShopAustralia.com.au's name, logos or service marks in a manner that, in VetShopAustralia.com.au's sole discretion, disparages or portrays VetShopAustralia.com.au in negative light, is illegal, immoral, unethical or would not otherwise be considered by a reasonable person as inappropriate. You must immediately remove and take down any content referring to VetShopAustralia.com.au upon request..
The Affiliate will be solely responsible for its own marketing activities. All marketing activities must be professional and in full compliance with all applicable laws.
5. Termination
The Affiliate may terminate the Affiliate's participation in the Affiliate Program with immediate effect by giving VetShopAustralia.com.au a written notice of termination.
VetShopAustralia.com.au may terminate the Affiliate's participation in the Affiliate Program at any time for conduct that is in breach of this Affiliate Agreement or for any other reason as VetShopAustralia.com.au sees fit by giving the Affiliate written notice of termination or otherwise notifying them by email or other communication method, or posting a notice of termination on its website or social media.
Upon termination, the Affiliate will lose access to any Affiliate dashboard provided and, if the termination is for a breach of this agreement by the Affiliate, will forfeit all potential or unpaid Affiliate Fees.
6. Relationship of Parties
VetShopAustralia.com.au and the Affiliate are independent contractors. Nothing in this Affiliate Agreement will create any partnership, employment, representative, agency, or joint venture relationship between the parties. The Affiliate has no authority to act on VetShopAustralia.com.au's behalf and the Affiliate must not hold itself out in any way as being anything other than an “affiliate” or “ambassador” of VetShopAustralia.
You are not entitled to any commission, fee or other payment from us whatsoever except as set out in this agreement unless as otherwise agreed by us in writing. In particular but without limitation you are not entitled to any appearance or modeling fee, reimbursement of costs or expenses or any salary, wages, per-deam, gratuity, royalty or other fee or payment except as otherwise agreed by us in writing.
7. Limitation of Liability
The Affiliate Program is provided on an "as is" and "as available" basis and the use of the Affiliate Program is at the Affiliate's own risk. VetShopAustralia.com.au makes no representations or warranties, either expressed or implied, with respect to the Affiliate Program, or any service or information provided through the Affiliate Program.
We are not liable for any failure of our systems to track or record any Referral Link, Referral Code, click or sale or if it tracks or records any Referral Link, click or sale incorrectly. The information in our systems regarding Referral Links, clicks and sales is deemed to be true and correct except in the case where we identify an error in which case we may make such adjustments as we see fit to rectify that error.
VetShopAustralia.com.au is not responsible for any damages, injury or economic loss arising from the use of Affiliate Program. Should any part of the Affiliate Program cause damage or inconvenience to the Affiliate or anyone claiming through the Affiliate, the Affiliate assumes responsibility and the entire cost for them.
The Affiliate will indemnify and hold harmless VetShopAustralia.com.au, its directors, officers, employees, agents, subsidiaries, and third parties from and against any losses, damages, liabilities, claims, judgments, settlements, fines, costs and expenses (including reasonable related expenses, legal fees, costs of investigation) arising out of or relating to the Affiliate's or any third party's operations or use of the Affiliate Program.
8. Modification
VetShopAustralia.com.au may, in its sole discretion, change or modify this Affiliate Agreement at any time, with or without notice. Such changes or modifications shall be made effective for all Affiliates upon posting of the modified Affiliate Agreement on our website or otherwise communicating it to you. The Affiliate is responsible for reading this document from time to time to ensure that its use of the Affiliate Program remains in compliance with this Affiliate Agreement.
If any modification is unacceptable to the Affiliate, its sole recourse shall be to terminate this Affiliate Agreement. The Affiliate's continued participation in the Affiliate Program will constitute binding acceptance of such modifications.
We reserve the right to suspend or terminate the Affiliate Program or any part of it or any person’s participation in the Affiliate Program including the right to suspend or terminate the Affiliate Program all together without notice and for any reason whatsoever. We will take reasonable steps to notify a person whose participation has been terminated. You agree that if we have any liability to you whatsoever arising out of the termination of your participation in the Afilliate Program for any reason whatsoever, our maximum liability to you is $10.
9. Miscellaneous
The Affiliate warrants and represents that it is over the age of 18 and is qualified to enter into this Affiliate Agreement.
The Affiliate warrants and represents that its actions and its participation in the Affiliate Program is in compliance with all applicable laws, rules, regulations, and any requirements of governmental authority at all times.
You agree that before bringing any action in any court or tribunal arising out of or in connection with the Affiliate Program (including these terms and conditions) you will first (a) provide to VetShopAustralia.com.au a written outline of the dispute and copies of all documents you say evidence or relate to the dispute in your possession (b) give VetShopAustralia.com.au at least 45 days to respond and (c) if required by VetShopAustralia.com.au, participate in any internal review and/or a mediation conducted pursuant to the rules of the Australian Mediation Association or if there are no such rules or it is unclear which rules apply, as determined by the President of the Queensland Law Society.
Any dispute arising in relation to this Affiliate Agreement shall be exclusively resolved in the Courts of Queensland, Australia.
You agree that us sending an email to the email address we hold for you or posting a letter to the street address you’ve given us is sufficient notice of anything we are obliged or entitled to do under this Affiliate Agreement whether or not you in fact receive or read such email or letter.
